GridGames Fundraiser Terms & Conditions

Effective date: 10 September 2026

These Fundraiser Terms & Conditions apply to fundraising arrangements offered by JWM Entertainment Limited trading as GridGames (“GridGames”, “we”, “us” or “our”).

By applying for, accepting, promoting or participating in a GridGames fundraiser, the person or organisation responsible for the fundraiser (“Fundraiser Organiser”) agrees to these terms.

1. Eligibility

GridGames fundraising arrangements may be available to approved organisations, groups and individuals raising funds for legitimate purposes, including:

• sports clubs and teams;
• schools, PTAs and education-related groups;
• university clubs, halls and student organisations;
• community and not-for-profit organisations; and
• individuals or groups raising funds for an approved purpose.

Submission of a fundraiser application does not guarantee acceptance.

GridGames may approve or decline a fundraiser application at its reasonable discretion, including where the proposed fundraiser is inconsistent with GridGames’ values, legal obligations, operational requirements or brand.

2. Fundraiser Approval

All fundraisers must be approved by GridGames before being promoted as a GridGames fundraiser.

The specific fundraiser arrangements will be confirmed by GridGames and may include:

• the fundraiser start and end dates;
• participating GridGames location;
• applicable booking dates or sessions;
• fundraiser booking link or promotional code;
• eligible products, sessions or booking types;
• any special pricing or discounts;
• the contribution rate or amount; and
• any other conditions specific to the fundraiser.

The fundraiser confirmation provided by GridGames forms part of these Terms & Conditions.

3. Fundraiser Contribution

The amount contributed by GridGames will be determined by GridGames and confirmed before the fundraiser begins.

The contribution may be expressed as:

• a percentage of Eligible Booking Revenue;
• a fixed amount per qualifying booking or participant; or
• another amount agreed between GridGames and the Fundraiser Organiser.

Once a fundraiser has commenced, GridGames will not retrospectively reduce the agreed contribution rate for valid qualifying bookings, except where an adjustment is required because of a refund, cancellation, chargeback, booking adjustment, error, fraud or misuse.

Example

If GridGames agrees to contribute 50% of Eligible Booking Revenue, and a qualifying booking generates:

$115.00 including GST

the GST-exclusive revenue is:

$100.00 excluding GST

and the fundraiser contribution would be:

50% × $100.00 = $50.00

The percentage used above is an example only. The actual contribution applicable to a fundraiser will be confirmed by GridGames before the fundraiser begins.

4. Eligible Booking Revenue

Unless otherwise confirmed in writing, Eligible Booking Revenue means the amount actually received by GridGames from qualifying bookings, excluding GST.

The following amounts are not included in Eligible Booking Revenue:

• GST;
• refunded amounts;
• cancelled or reversed transactions;
• chargebacks;
• fraudulent or unauthorised transactions;
• complimentary sessions;
• amounts paid using complimentary credits or promotional vouchers issued by GridGames; and
• any other amount that GridGames has not actually received as revenue from the qualifying booking.

Where a discount applies to a booking, the fundraiser contribution will be calculated using the amount actually paid after the discount, excluding GST, unless otherwise agreed.

5. Qualifying Bookings

A booking will only qualify towards a fundraiser where it can reasonably be attributed to that fundraiser using the method agreed with GridGames.

This may include:

• use of a unique fundraiser discount or promotional code;
• use of a fundraiser-specific booking link;
• bookings made during a specified fundraiser session or event; or
• another tracking method confirmed by GridGames.

It is the Fundraiser Organiser’s responsibility to ensure supporters are provided with the correct booking instructions.

GridGames is not required to retrospectively attribute a booking to a fundraiser where the required fundraiser code, link or booking process was not used, unless GridGames agrees otherwise.

6. Customer Bookings

All customer bookings remain subject to GridGames’ standard booking terms, venue rules and policies.

Participation in a fundraiser does not provide customers with additional cancellation, refund or booking-change rights beyond those available under GridGames’ applicable booking terms and New Zealand law.

Where GridGames’ standard policy requires changes or cancellations to be made at least 24 hours before a session, that policy continues to apply.

Nothing in these Fundraiser Terms & Conditions limits any rights or remedies that a customer may have under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or any other applicable New Zealand law.

7. Refunds and Booking Adjustments

If a qualifying booking is subsequently:

• cancelled;
• refunded in full or in part;
• reduced in value;
• subject to a chargeback; or
• otherwise reversed or adjusted,

the Eligible Booking Revenue and corresponding fundraiser contribution may be adjusted accordingly.

If a contribution has already been paid to the Fundraiser Organiser before the adjustment occurs, GridGames may deduct the relevant amount from a future fundraiser payment or request repayment of the overpaid amount.

8. Fundraiser Payments

Following completion of the fundraiser, GridGames will reconcile the qualifying bookings and calculate the final contribution payable.

Unless another timeframe has been agreed, GridGames will endeavour to make payment within 20 working days after the fundraiser has ended and all relevant bookings have been completed and reconciled.

The Fundraiser Organiser must provide accurate payment information when requested.

GridGames is not responsible for delays resulting from incorrect or incomplete payment information supplied by the Fundraiser Organiser.

9. Fundraiser Reporting

GridGames’ booking and payment records will be used to determine the number and value of qualifying bookings.

If the Fundraiser Organiser believes there is an error in the final fundraiser calculation, they should contact GridGames as soon as reasonably practicable with details of the booking or transaction concerned.

GridGames will reasonably investigate any identified discrepancy.

10. Customer Payments Are Not Donations

Customers participating in a GridGames fundraiser are purchasing GridGames services.

Unless expressly stated otherwise, the amount paid by a customer for a GridGames booking is not a charitable donation and GridGames will not issue a donation receipt for the customer’s booking payment.

The contribution to the Fundraiser Organiser is made separately by GridGames in accordance with the fundraiser arrangement.

The Fundraiser Organiser is responsible for obtaining its own tax, accounting or legal advice regarding any funds received from GridGames and any obligations applying to those funds.

11. Promotion of the Fundraiser

The Fundraiser Organiser may promote an approved fundraiser through its usual communication channels, including social media, email, newsletters and websites.

All promotions must:

• accurately describe the fundraiser;
• use the contribution rate or amount confirmed by GridGames;
• clearly explain any important conditions;
• not make false or misleading statements;
• not suggest that GridGames is a charity or charitable organisation;
• not suggest that a customer’s booking payment is itself a tax-deductible donation;
• not imply an endorsement, sponsorship or partnership beyond the arrangement actually agreed with GridGames; and
• comply with applicable New Zealand laws.

Where GridGames provides approved wording, graphics, logos or promotional material, the Fundraiser Organiser must not materially alter them in a way that could create a misleading impression.

12. GridGames Brand and Intellectual Property

GridGames grants the Fundraiser Organiser a limited, non-exclusive and revocable permission to use approved GridGames branding solely for promoting the approved fundraiser.

The Fundraiser Organiser must not:

• alter the GridGames name or logo without approval;
• represent itself as GridGames;
• register or claim ownership of GridGames branding; or
• continue using GridGames branding after the fundraiser has ended or approval has been withdrawn.

All rights in the GridGames name, branding, website content and other intellectual property remain with GridGames or their respective owners.

13. Fundraiser Codes and Links

Any discount code, promotional code or fundraiser link provided by GridGames:

• is intended only for the approved fundraiser;
• may not be sold;
• may not be used fraudulently or in a manner inconsistent with the fundraiser;
• has no cash value; and
• may be disabled where reasonably necessary because of misuse, fraud, technical issues or cancellation of the fundraiser.

GridGames may take reasonable steps to prevent the unauthorised use or distribution of fundraiser codes.

Disabling a fundraiser code will not remove valid fundraiser contributions already earned from qualifying bookings before the code was disabled, unless those bookings were affected by fraud, misuse, refunds, chargebacks or other invalid transactions.

14. Fundraiser Organiser Responsibilities

The Fundraiser Organiser is responsible for:

• providing GridGames with accurate information;
• obtaining any internal approvals required to participate in the fundraiser;
• ensuring that it has authority to raise funds for the stated purpose;
• using fundraiser proceeds consistently with the purpose represented to supporters;
• complying with applicable laws and regulations; and
• ensuring its promotional activities do not damage or misrepresent the GridGames brand.

Where the organiser is acting on behalf of another organisation, it must have authority to do so.

15. Raffles, Lotteries and Gambling Activities

A GridGames fundraiser does not, by itself, authorise the Fundraiser Organiser to conduct a raffle, lottery, prize competition or other form of gambling.

Any such activity must be separately approved by GridGames before GridGames branding or facilities are used and must comply with the Gambling Act 2003 and any other applicable requirements.

The Fundraiser Organiser is responsible for obtaining any licence, approval or permission required for activities it independently conducts.

16. Privacy

GridGames may collect personal information from Fundraiser Organisers where reasonably necessary to:

• assess fundraiser applications;
• communicate about the fundraiser;
• administer bookings and promotional codes;
• calculate fundraiser contributions;
• process payments;
• prevent fraud or misuse; and
• meet legal and accounting requirements.

Personal information will be handled in accordance with the Privacy Act 2020 and GridGames’ applicable privacy policy.

Fundraiser Organisers must not provide GridGames with personal information about another person unless they are authorised to do so or otherwise permitted by law.

17. Suspension or Cancellation of a Fundraiser

GridGames may suspend or cancel a fundraiser where there are reasonable grounds to do so, including:

• suspected fraud or misuse;
• misleading or inappropriate promotion;
• breach of these Terms & Conditions;
• unlawful activity;
• misuse of GridGames intellectual property;
• circumstances creating a significant operational, safety or reputational risk; or
• circumstances outside GridGames’ reasonable control that prevent the fundraiser from continuing.

Where reasonably practicable, GridGames will notify the Fundraiser Organiser of the suspension or cancellation.

Subject to these Terms & Conditions, qualifying contributions validly earned before cancellation will remain payable.

18. Changes to These Terms

GridGames may update these Fundraiser Terms & Conditions from time to time.

Any updated terms will generally apply to fundraisers approved after the updated terms take effect.

For an existing approved fundraiser, the terms applying when that fundraiser was confirmed will continue to apply unless:

• GridGames and the Fundraiser Organiser agree to a change; or
• a change is reasonably required to comply with applicable law.

19. Events Outside Reasonable Control

Neither GridGames nor the Fundraiser Organiser will be responsible for failing to perform an obligation where performance is prevented by circumstances outside that party’s reasonable control.

This does not limit any statutory rights or obligations that cannot lawfully be excluded.

20. Relationship Between the Parties

A fundraiser does not create an employment relationship, agency, joint venture, franchise or formal partnership between GridGames and the Fundraiser Organiser.

Neither party has authority to enter into an agreement or incur an obligation on behalf of the other unless specifically authorised in writing.

21. New Zealand Law

These Terms & Conditions are governed by the laws of New Zealand.

The parties will first attempt to resolve any disagreement relating to a fundraiser through good-faith discussion.

Nothing in these terms prevents either party from exercising any rights available under New Zealand law.
